1. Introduction and Acceptance

Welcome to PEAK Pipe ("Company", "we", "our", or "us"), a subsidiary of PeakHub Limited. These Terms of Service ("Terms") govern your access to and use of our website, products, and services.

By accessing our website or placing an order, you agree to be bound by these Terms in accordance with the laws of the Republic of Ghana, including the Electronic Transactions Act, 2008 (Act 772) and the Sale of Goods Act, 1962 (Act 137).

If you do not agree to these Terms, please do not use our services.

2. Definitions

"Customer" means any registered business or individual who purchases products from us
"Products" means all goods, materials, and supplies offered for sale on our platform
"Order" means a request to purchase Products submitted through our website
"Business Account" means a registered account for B2B transactions
"GHS" means Ghana Cedis, the official currency of Ghana

3. Account Registration

3.1 Eligibility

To create an account, you must:

Be at least 18 years of age
Be a registered business entity in Ghana or an authorized representative
Provide accurate and complete registration information
Have the legal authority to bind your business to these Terms

3.2 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access

3.3 Account Approval

We reserve the right to approve, reject, or suspend any account at our sole discretion. Business accounts are subject to verification before activation.

4. Products and Pricing

4.1 Product Information

We strive to provide accurate product descriptions, images, and specifications. However, we do not warrant that product descriptions are error-free. If a product you receive differs materially from its description, your sole remedy is to return it in unused condition.

4.2 Pricing

All prices are quoted in Ghana Cedis (GHS) and are exclusive of applicable taxes unless otherwise stated
Prices are subject to change without notice
The price at the time of order placement will apply to your order
We reserve the right to correct pricing errors

4.3 Taxes

Prices may be subject to Value Added Tax (VAT) and other applicable taxes as required by the Ghana Revenue Authority. All applicable taxes will be calculated and displayed at checkout.

5. Orders and Payment

5.1 Order Acceptance

Your order constitutes an offer to purchase. We reserve the right to accept or reject any order. An order is accepted only when we send an order confirmation or dispatch the goods.

5.2 Minimum Order

Certain products may have minimum order quantities. These will be clearly indicated on the product page.

5.3 Payment Methods

We accept the following payment methods:

Bank Transfer
Mobile Money (MTN, Vodafone, AirtelTigo)
Credit Account (for approved customers)

5.4 Payment Terms

Standard Orders: Payment is required before dispatch unless credit terms have been agreed
Credit Accounts: Payment is due within the agreed credit period (typically 30 days from invoice date)
Late payments may incur interest at the prevailing Bank of Ghana monetary policy rate plus 5% per annum

5.5 Credit Accounts

Credit facilities are offered at our sole discretion based on creditworthiness assessment. We reserve the right to:

Set and modify credit limits
Require security or guarantees
Suspend or revoke credit privileges for late payment

6. Delivery

6.1 Delivery Areas

We deliver within Ghana. Delivery availability and charges vary by location.

6.2 Delivery Times

Estimated delivery times are provided in good faith but are not guaranteed. Delivery times may be affected by:

Stock availability
Payment confirmation
Delivery location accessibility
Force majeure events

6.3 Risk and Title

Risk of loss passes to you upon delivery. Title to the goods remains with us until full payment is received.

6.4 Inspection

You must inspect goods upon delivery and report any damage, defects, or shortages within 48 hours. Failure to report issues within this period may affect your ability to claim.

7. Returns and Refunds

7.1 Return Policy

You may return products within 7 days of delivery if:

The product is defective or damaged
The wrong product was delivered
The product does not match its description

7.2 Return Conditions

To be eligible for a return:

Products must be unused and in original packaging
You must provide proof of purchase
Products must be returned in resaleable condition

7.3 Non-Returnable Items

The following items cannot be returned:

Custom-ordered or specially cut products
Products that have been installed or used
Products returned after 7 days

7.4 Refunds

Approved refunds will be processed within 14 business days using the original payment method or as store credit.

8. Warranties

8.1 Product Warranties

Products may carry manufacturer warranties. Warranty terms vary by product and manufacturer. We will assist in processing valid warranty claims.

8.2 Limitation of Warranties

To the maximum extent permitted by Ghanaian law:

We make no warranties beyond those expressly stated
We disclaim all implied warranties of merchantability and fitness for a particular purpose
Product suitability for specific applications is the customer's responsibility

9. Limitation of Liability

To the maximum extent permitted by the laws of Ghana:

Our total liability for any claim shall not exceed the value of the products purchased
We shall not be liable for indirect, incidental, special, or consequential damages
We shall not be liable for loss of profit, revenue, or business opportunity
We shall not be liable for damages arising from improper installation or use

10. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of PeakHub Limited, PEAK Pipe, or our licensors and is protected by Ghanaian and international intellectual property laws.

You may not reproduce, distribute, or create derivative works without our written consent.

11. Prohibited Activities

You agree not to:

Use our services for any unlawful purpose
Provide false or misleading information
Interfere with the operation of our website
Attempt to gain unauthorized access to our systems
Resell products in violation of any applicable laws
Use automated systems to access our website without permission

12. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to:

Natural disasters, floods, or adverse weather
War, civil unrest, or terrorism
Government actions or regulations
Strikes or labor disputes
Pandemic or epidemic
Power failures or internet outages
Supply chain disruptions

13. Termination

We may suspend or terminate your account at any time if:

You breach these Terms
You fail to make payments when due
We suspect fraudulent activity
We discontinue our services

Termination does not affect any rights or obligations that accrued before termination.

14. Dispute Resolution

14.1 Negotiation

Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiation between the parties.

14.2 Mediation

If negotiation fails, the parties agree to attempt mediation before pursuing other remedies.

14.3 Arbitration

If mediation is unsuccessful, disputes shall be resolved by arbitration in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana. The arbitration shall take place in Accra, Ghana.

14.4 Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. The courts of Ghana shall have exclusive jurisdiction over any legal proceedings.

15. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any specific terms agreed in writing, constitute the entire agreement between you and PEAK Pipe (a subsidiary of PeakHub Limited).
